These Terms set out the rules for using Max Health Inc. products and services. Please read them carefully.

1. Acceptance of these terms

These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, and services provided by Max Health Inc.(“Max Health”, “we”, “us”, or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Product-specific terms

Max Health offers multiple products for both organizations and individuals. Some products are governed by their own product-specific terms, license, or order form that supplements, and where there is a conflict governs over, these general Terms for that product. Where a product does not publish its own terms, these Terms apply.

3. Eligibility and accounts

You must be able to form a binding contract to use the Services. If you create an account, you are responsible for keeping your credentials secure and for all activity under your account.

You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

4. Acceptable use

You agree not to:

  • use the Services in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to the Services or to other users’ data;
  • interfere with or disrupt the integrity or performance of the Services; or
  • upload content you do not have the right to share.

5. Intellectual property and open-source software

The Services, including their content and branding, are owned by Max Health or its licensors and are protected by intellectual property laws.

Many of our tools are released as open-source software under their own licenses. Your use of that software is governed by the applicable open-source license, which prevails over these Terms for that software.

6. Third-party services

The Services may integrate with or link to third-party services, such as identity providers and payment processors. Your use of those services is subject to their own terms and policies, and we are not responsible for them.

7. No medical advice

The Services support the collection, storage, and exchange of health data, but they do not provide medical advice, diagnosis, or treatment. Nothing in the Services is a substitute for professional medical judgment. Always seek the advice of a qualified healthcare provider with any questions about a medical condition.

8. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Max Health will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the Services.

10. Indemnification

You agree to indemnify and hold Max Health harmless from any claims, losses, and expenses arising out of your use of the Services or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. You may stop using the Services at any time.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
